21. Insurance. Supplier agrees to carry
insurance covering product liability and general liability in
amounts of not less than $5,000,000.00 per
occurrence. The limits required may be met by a combination of primary and
umbrella liability policies. Supplier further agrees to maintain professional
liability (Errors and Omissions) insurance for the Products and services it
provides to Buyer in an amount of not less than $5,000,000 per claim. All such
policies will provide for at least thirty (30) days prior written notice to
Buyer of cancellation, non-renewal, or material change in the terms and
conditions of coverage and name Buyer as an additional named insured. At
Buyer’s request, Supplier will provide Buyer with a certificate or certificates
of insurance evidencing such coverage. Prior to the expiration of any insurance
policy of Supplier, a renewal certificate of insurance will be provided to
Buyer. Supplier agrees to have its insurance carrier(s) waive any right of
subrogation that such carrier(s) may have against Buyer so long as the
insurance is not invalidated thereby. In the event Supplier ceases to carry
adequate insurance that names Buyer as an
additional insured, Buyer may immediately
cancel this Agreement and any outstanding purchase orders by giving Supplier
written notice of Buyer’s election to cancel; The minimum insurance
coverages set forth herein do not limit in
any way Supplier’s liability to Buyer pursuant to this Agreement.
21.保险。
供应商同意投保产品责任保险和一般责任保险，单次事故赔偿金额不低于500万美金。以上赔款政策受限部分可以通过基本保险和超额损失保险政策得到满足。供应商同意购买职业责任险，每次事故索赔金额不低于500万美金。若取消保险，不续签保险，或者材料变更，保险条款变更，或者把买方列为附加保险人等情况都需要提前30天以书面形式告知买方。根据买方要求，供应商应提供以上要求购买的保险的保单给买方。供应商应续签任何要过期的保单，并将续签的新保单提供给买方。供应商同意放弃代位追偿权，以避免保险公司以此否决买方的索赔权。若供应商终止把买方作为附加保险人的保险，买方可能会立即通过书面通知取消此合约以及在途采购订单。本条例中的最低险并不影响供应商的其他责任。
